    The percentages set forth herein are based on 1,724,120,468 shares of Common Stock outstanding as of August 1, 2024, prior to the Reverse Stock Split (as defined herein), as reported by the Issuer in its quarterly report on Form 10-Q, filed with the U.S. Securities and Exchange Commission (the “Commission”) on August 8, 2024, as adjusted and approximated for the one-for-forty reverse stock split effective August 20, 2024 (the “Reverse Stock Split”).
