Levi Strauss & Co. announced today the pricing of €475 million of its 4.000% senior notes due 2030 at par in a private offering conducted pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the "Securities Act"). The sale of the notes is expected to close on July 29, 2025, subject to customary closing conditions. The company intends to use the net proceeds from the offering, together with cash on hand, to redeem in full its 3.375% senior notes due 2027 (the "2027 Notes") and pay fees and expenses related to the offering and the redemption of such outstanding notes.
