Item 8.01 Other Events.
At-the-Market Equity Offering Program Update
On May 16, 2022, Elicio Therapeutics, Inc. (the “Company”) entered into an At-The-Market Equity Offering Sales Agreement (the “Agreement”) with Stifel, Nicolaus & Company, Incorporated (“Stifel”) and Virtu Americas LLC (“Virtu” and together with Stifel, the “Agents”) as sales agents and/or principal, pursuant to which the Company may issue and sell shares of its common stock having an aggregate offering price of up to $21.0 million from time to time through the Agents on terms set forth in the Agreement. Since the quarter ended September 30, 2023, the Company has issued and sold 584,170 shares of its common stock under the “at-the-market” equity offering program for net sale proceeds of approximately $4.89 million, after deducting sales commissions.
