Item 1.01. Entry into a Material Definitive Agreement.
As previously disclosed, on June 3, 2021, certain subsidiaries of Camping World Holdings, Inc., CWGS Group, LLC (as borrower) and CWGS, LLC (as parent guarantor), entered into a credit agreement (the “Credit Agreement”) for a senior secured credit facility (as amended, the ‘‘Senior Secured Credit Facilities’’) with Goldman Sachs Bank USA, as administrative agent, and the other lenders party thereto, currently comprised of a seven-year $1.400 billion term loan facility (the “Term Loan Facility”) and a five-year $65.0 million revolving credit facility, as amended. On December 2, 2024, the parties to the Credit Agreement entered into an amendment to the Credit Agreement (the “Amendment”) to extend the Initial Revolving Maturity Date from June 3, 2026 to the earlier of (i) ninety-one days prior to the maturity date of the FreedomRoads Floor Plan Credit Agreement maturity date or (ii) March 3, 2028 (the “Revolver Maturity Date”). The Credit Agreement contains certain restrictive covenants pertaining to, but not limited to, mergers, changes in the nature of the business, acquisitions, additional indebtedness, sales of assets, investments, and the payment of dividends subject to certain limitations and minimum operating covenants.
