1. Amount withheld by the issuer to satisfy applicable tax withholding resulting from the vesting on December 15, 2024 of previously disclosed awards of restricted stock units.

2. Represents the price per share utilized by the issuer to calculate the number of shares to be withheld to satisfy the applicable tax withholding, which price was equal to the closing price of the issuer's common stock on the last trading day prior to the vesting of the related awards of restricted stock units.
