Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 29, 2024, Tom Panther notified Corpay, Inc. (the “Company”) of his decision to resign as Chief Financial Officer effective March 15, 2025. Mr. Panther is departing the Company to join a Christian not-for-profit organization as Chief Financial Officer. Mr. Panther’s resignation is not the result of any dispute or disagreement with the Company or its Board of Directors, including any matters relating to the Company’s operations, polices, accounting practices or financial reporting. The Company has launched an executive search for a new Chief Financial Officer.
A copy of the press release issued by the Company on December 2, 2024, regarding Mr. Panther’s decision is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 5.02.
