The Issuer offered holders of the Issuer's outstanding publicly traded warrants, each representing the right to purchase one share of the Issuer's common stock, par value $0.20 per share, at an exercise price of $22.00 (the "Warrants"), the opportunity to exercise the Warrants at a temporarily reduced exercise price of $21.30 per Warrant (the "Offer"). The Offer expired on March 31, 2025, at which time the reporting person exercised 2,351 Warrants at the temporarily reduced price in connection with the Offer.
