ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 28, 2024 the Board of Directors of the Company unanimously approved adding Dr. Amy Emerson to the Company’s Board of Directors. Dr. Emerson is a pediatrician who serves as an appointment to the board of Oklahoma's Office of Juvenile Affairs, and advocate for programs such as Reach Out & Read and Dolly Parton Imagination Library. Dr Emerson, along with the remaining independent directors, is expected to serve on the Audit, Compensation and Governance Committees. Dr. Emerson is being added as a Class II Director and will be included in the 2025 Proxy Statement ballot.
