1. Restricted Stock Units convert into Class A Common Stock on a one-for-one basis.

2. On June 6, 2022, the reporting person was granted 37,715 Restricted Stock Units. The Restricted Stock Units vest in three equal annual installments; one-third on June 6, 2023; one-third on June 6, 2024; and one-third on June 6, 2025 (the "Vesting Period"). Fractional numbers will be rounded down to the nearest whole number.
