Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On January 16, 2025, Hilton Grand Vacations Inc. (the “Company”) informed Mr. Pablo Brizi, its Executive Vice President and Chief Human Resources Officer, that he would be separated from the Company effective as of April 1, 2025. Mr. Brizi is entitled to receive compensation and benefits consistent with a qualifying termination pursuant to his severance agreement, which has been filed as an exhibit to the Company’s most recent Annual Report on Form 10-K and material terms of which are described in the Company’s most recent Proxy Statement filed with the Securities and Exchange Commission.
