Explanation of Responses:

1. Represents a grant of restricted stock pursuant to and in accordance with the Issuer's director compensation policy, 100% of which will vest, subject to continued service through the vesting date, on the earlier of (i) the one-year anniversary of April 29, 2024 or (ii) the date of the Issuer's 2025 annual meeting of stockholders, subject to acceleration in full upon the occurrence of certain events.
