    Item 1.01. Entry into a Material Definitive Agreement.

     

    On April 11, 2025, Hyatt Hotels Corporation (the “Company”), as borrower, certain subsidiaries of the borrower from time to time party thereto as guarantors, the lenders party thereto, Bank of America, N.A., as administrative agent (the “Administrative Agent”), JPMorgan Chase Bank, N.A. and Wells Fargo Bank, N.A., as co-syndication agents, and BofA Securities, Inc., JPMorgan Chase Bank, N.A. and Wells Fargo Securities, LLC, as joint book runners and lead arrangers, entered into a Credit Agreement (the “Credit Agreement”). The Credit Agreement provides for a $1.7 billion delayed draw term loan facility (the “Delayed Draw Term Loan Facility”) that matures on the third anniversary of the date that the loans thereunder (the “DDTL Loans”) are funded (the “Funding Date”). As of April 11, 2025, no borrowings were outstanding under the Delayed Draw Term Loan Facility.

     

    The proceeds from the Delayed Draw Term Loan Facility will be used by the Company (i) to finance all or portion of the consideration for the acquisition (the “Acquisition”) of Playa Hotels & Resorts N.V. (“Playa”) pursuant to that certain Purchase Agreement, dated as of February 9, 2025 (the “Purchase Agreement”), by and among the Company, as parent, HI Holdings Playa B.V., as the buyer, and Playa, as the target, (ii) to finance all or a portion of the repayment in full and termination of the Credit Agreement, dated as of August 9, 2013, as amended, restated, amended and restated, supplemented or otherwise modified from time to time, by and among Playa Resorts Holding B.V., as the borrower, Playa, as holdings, Deutsche Bank AG New York Branch, as administrative agent, and the other parties from time to time party thereto, and the release of all liens, security interests and guarantees in connection therewith, and (iii) in connection with the other transactions as described in the Credit Agreement.

     

    The DDTL Loans are available to be borrowed until the earliest of (i) October 9, 2025, (ii) the Funding Date, (iii) the termination of the Purchase Agreement in accordance with its terms prior to the consummation of the Acquisition, (iv) a public announcement of the abandonment of the Acquisition by the Company and (v) the date on which all unfunded commitments have been reduced to $0 or terminated pursuant to the Credit Agreement. The DDTL Loans will bear interest, at the Company’s option, at base rate plus a range of 0.000% to 0.425% per annum, depending on the Company’s debt ratings, or term SOFR plus a range of 0.815% to 1.425% per annum, depending on the Company’s debt ratings. The Delayed Draw Term Loan Facility will also carry an unused commitment fee of 0.15% on the average daily unused amount of commitments thereunder starting on July 10, 2025.

     

    The Company may prepay the outstanding aggregate principal amount of DDTL Loans, in whole or in part, at any time, subject to certain restrictions and upon notice to the Administrative Agent. The Company is required to prepay the DDTL Loans with proceeds of certain debt incurrences, equity issuances and asset sales, and is also required, solely to the extent that the aggregate amount of voluntary and mandatory prepayments made on or prior to the second anniversary of the Funding Date does not exceed $500 million, to prepay the DDTL Loans in amount equal to such deficit on such second anniversary. The Credit Agreement contains customary affirmative, negative and financial covenants, representations and warranties, and default provisions.

     

    The foregoing description of the Credit Agreement is qualified in its entirety by reference to the text of the Credit Agreement, a copy of which is attached hereto as Exhibit 10.1, and incorporated herein by reference. The Credit Agreement has been included as an exhibit to this filing to provide investors and security holders with information regarding its terms and is not intended to provide any other factual information about the Company or any of its subsidiaries.
