| 1. The 1,536 Variable Rate Muni Term Preferred Shares, Series W-7 ("Shares") reported as acquired in Table I represent Shares of BlackRock MuniVest Fund, Inc. (the "Issuer") beneficially owned by DNT Asset Trust ("DNT"). The Shares were purchased by DNT from the Issuer. The Shares were acquired for a purchase price of $100,000 per share. DNT is a wholly owned subsidiary of JPMorgan Chase & Co. ("JPMC&C"). |
| 2. This statement is jointly filed by JPMC&C and DNT. JPMC&C holds an indirect interest in the securities listed in Table I (the "Securities") by virtue of its indirect ownership of its subsidiary DNT. |
