Item 7.01 | Regulation FD. |
On December 3, 2024, Ranpak Holdings Corp. (the “Company”) announced the launch of a process to refinance in full the Company’s existing senior secured credit facilities with new senior secured credit facilities (the “New Credit Facilities”), which are currently expected to consist of (i) a $410 million U.S. dollar-denominated first lien term facility and (ii) a $50 million revolving facility available in U.S. dollars, Euros and other currencies to be agreed. UBS AG, Stamford Branch is expected to serve as administrative agent for the New Credit Facilities.
Terms of the potential refinancing and the New Credit Facilities will be disclosed upon the completion of the transaction. The proposed refinancing is subject to market and other conditions, and there can be no assurance that it will be completed on favorable terms or at all.
