Explanation of Responses:

1. Represents shares that, at the effective time of the First Merger (as defined in the Agreement and Plan of Merger, as amended and restated on March 1, 2021 (the "Merger Agreement"), by and among Cantel Medical Corp., a Delaware corporation (the "Company"), STERIS plc, an Irish public limited company ("STERIS"), Solar New US Holding Co, LLC and Crystal Merger Sub 1, LLC) (the "Effective Time"), were converted into the right to receive (i) 0.33787 ordinary shares, par value $0.001 per share, of STERIS (the "Stock Consideration"), and (ii) $16.93 in cash (the "Cash Consideration" and, together with the Stock Consideration, the "Merger Consideration").

2. Based on the closing price of ordinary shares of STERIS on June 1, 2021, the last trading day before the Effective Time, the value of the Stock Consideration payable per share of common stock, par value $.10 per share, of the Company ("Company Common Stock") was $63.66, and the value of the Merger Consideration payable per share of Company Common Stock pursuant to the Merger Agreement was $80.59.
