1. On April 22, 2025, the reporting person was granted 168,310 restricted stock units ("RSUs") subject to time vesting. Such RSUs vest 1/6 on December 15, 2025, 1/6 on June 15, 2026, 1/6 on December 15, 2026, 1/6 on June 15, 2027, 1/6 on December 15, 2027, and 1/6 on June 15, 2028. Each RSU represents a right to receive one share of the common stock of the issuer and/or cash upon vesting.
