This prospectus supplement updates and supplements the prospectus of Beneficient, a Nevada corporation (the “Company,” “we,” “us” or “our”), dated November 12, 2024, which forms a part of our Registration Statement on Form S-1, as amended (Registration No. 333-281694) (the “Prospectus”). This prospectus supplement is being filed to update and supplement the information in the Prospectus with the information contained in our Current Report on Form 8-K, filed with the Securities and Exchange Commission (the “SEC”) on June 4, 2025. Accordingly, we have attached the Form 8-K to this prospectus supplement. Our Class A common stock, par value $0.001 per share (the “Class A common stock”), is listed on The Nasdaq Capital Market under the symbol “BENF,” and the warrants, with each warrant exercisable for one share of Class A common stock and one share of Series A preferred stock, par value $0.001 per share, at an exercise price of $11.50 (the “Warrants”), are listed on The Nasdaq Capital Market under the symbol “BENFW”. On June 3, 2025, the last reported sales price of the Class A common stock was $0.2941 per share, and the last reported sales price of our Warrants was $0.0068 per Warrant. We are an “emerging growth company” and a “smaller reporting company” as defined under the U.S. federal securities laws and, as such, may elect to comply with certain reduced public company reporting requirements for this and future filings. Certain holders of our Class B common stock, par value $0.001 per share (the “Class B common stock”), have entered into a stockholders agreement concerning the election of directors of the Company, and holders of Class B common stock have the right to elect a majority of the Company’s directors. As a result, the Company is a “controlled company” within the meaning of the Nasdaq Listing Rules and may elect not to comply with certain corporate governance standards.

On May 29, 2025, Beneficient (the “Company”) held its 2025 annual meeting of stockholders (as previously adjourned on each of March 31, 2025, April 16, 2025, April 30, 2025 and May 28, 2025, the “Annual Meeting”). Holders of shares of the Company’s Class A common stock, par value $0.001 per share (“Class A common stock”), and Class B common stock, par value $0.001 per share (“Class B common stock”), representing a total of 5,509,937 votes were present or represented by proxy at the Annual Meeting, representing approximately 51% of the Company’s total voting power as of the February 28, 2025 record date. The following are the voting results for the proposals considered and voted upon at the Annual Meeting, each of which were described in the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on March 21, 2025.
Proposal 1: To elect seven directors to serve until the Company’s 2026 annual meeting of stockholders and until their successors are duly elected and qualified (“Proposal 1”). Holders of shares of Class B common stock, voting as a separate class, were entitled to elect that number of directors which constitutes fifty-one percent (51%) (rounded up to the nearest whole number) of the total number of directors on the Company’s Board of Directors (the “Board” and such directors, the “Class B Directors”). Holders of shares of Class A common stock and holders of shares of Class B common stock, voting together as a single class, were entitled to elect all remaining directors on the Board (the “Class A Directors”).
