The securities to be registered hereby are the Class A Common Stock, par value $0.0001 per share, of System1, Inc., a Delaware corporation (the “Class A Common Stock”), and warrants to purchase shares of Class A Common Stock. The description of the Class A Common Stock and warrants contained in the proxy statement/prospectus forming a part of the Registration Statement on Form S-4 (Registration No. 333-260714), originally filed with the Securities and Exchange Commission (the “Commission”) on November 3, 2021, as amended from time to time (the “Registration Statement”), to which this Form 8-A relates is incorporated herein by reference.
