On July 29, 2024, Chubb INA Holdings LLC (the “Company”) agreed to sell in a public offering $700,000,000 of 4.650% Senior Notes due 2029 (the “2029 Notes”) and $600,000,000 of 5.000% Senior Notes due 2034 (the “2034 Notes” and together with the 2029 Notes, the “Notes”). The 2034 Notes will constitute a further issuance of, and will be consolidated and form a single series with, the Company’s outstanding 5.000% Senior Notes due 2034 issued on March 7, 2024. Upon completion of the offering, an aggregate principal amount of $1,600,000,000 of the 2034 Notes will be outstanding. The Notes will be fully and unconditionally guaranteed by Chubb Limited.
Attached as Exhibits 1.1 and 1.2 are copies of the underwriting agreement and terms agreement relating to such public offering. Attached as Exhibits 4.1, 4.2 and 4.3 are the form of officer’s certificate establishing the notes and the form of the notes. Attached as Exhibits 5.1 and 5.2 are certain opinions related to the Notes.
