    I wanted to personally inform you that Paramount Group announced this morning it has entered into a merger agreement with Rithm Capital Corp., a global alternative asset manager.

    This decision follows a comprehensive strategic review initiated by our Board in May. After evaluating numerous proposals, the Board agreed that this transaction provides our shareholders with compelling value for their investment.

    The Board is confident that Rithm’s institutional expertise and track record of value creation align well with Paramount Group’s operational strengths and high-quality asset base.

    As you can appreciate, there are several steps required before the transaction is finalized. We expect to complete the merger during late Q4 2025. Until then, it remains business as usual at Paramount Group.
