    State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

    CareMax, Inc., a Delaware corporation (the “Company”), is unable to file, without unreasonable effort or expense, its Quarterly Report on Form 10-Q for the fiscal quarter ended September 30, 2024 (the “Form 10-Q”) within the prescribed time period. As previously disclosed, the Company continues to undergo efforts to reduce operating expenses and pursue various equity and debt refinancing and other strategic alternatives, including the sale of certain assets. Due to the considerable time and resources the Company is devoting to such efforts, the Company does not have the funds or personnel necessary to file the Form 10-Q within the extension period provided by Rule 12b-25 under the Securities Exchange Act of 1934, as amended. If the Company is unable to successfully implement its plans or receive adequate relief from its creditors and lessors, the Company is likely to restructure under Chapter 11 of the US Bankruptcy Code.

    As described above in Part III – Narrative to this Form 12b-25, the Company was unable to file its Form 10-Q within the prescribed time period without unreasonable effort and expense. The Company’s results of operations for the fiscal quarter ended September 30, 2024 are anticipated to decline significantly from its results of operations for the fiscal quarter ended September 30, 2023 due to significant adverse developments that occurred with respect to the Company’s business and liquidity during the quarter. However, the Company is unable to provide reasonable estimates of revenues, operating loss and net loss at this time as the Company has not completed its financial close process and controls for the applicable period due to the constraint on resources noted above in Part III.
