EXPLANATORY NOTE
On September 20, 2023, Splunk Inc., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (as amended, supplemented or otherwise modified from time to time, the “Merger Agreement”) by and among the Company, Cisco Systems, Inc., a Delaware corporation (“Parent”), and Spirit Merger Corp., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”). Pursuant to the Merger Agreement, at the effective time of the Merger, Merger Sub merged with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Parent. The Merger became effective on March 18, 2024, upon the filing of a Certificate of Merger with the Secretary of State of the State of Delaware.
The Company is hereby filing this Post-Effective Amendment (the “Post-Effective Amendment”) to the following registration statement on Form S-3: Registration No. 333-275349 (the “Registration Statement”). As a result of the Merger, any and all offerings of securities registered pursuant to the Registration Statement have been terminated. In accordance with undertakings made by the Company in such Registration Statement to remove from registration, by means of this Post-Effective Amendment, any of the securities registered under such Registration Statement that remain unsold at the termination of the offering, the Company hereby removes from registration all securities registered under the Registration Statement but unsold as of the date hereof.
