    EXPLANATORY NOTE

    This Post-Effective Amendment No. 1 to the Registration Statement on Form N-2 (File Nos. 333-290154 and 811-21485) of Cohen & Steers Infrastructure Fund, Inc. (the “Registration Statement”) is being filed pursuant to Rule 462(d) under the Securities Act of 1933, as amended (the “Securities Act”), solely for the purpose of filing exhibits to the Registration Statement. Accordingly, this Post-Effective Amendment No. 1 consists only of a facing page, this explanatory note and Part C of the Registration Statement on Form N-2 setting forth the exhibits to the Registration Statement. This Post-Effective Amendment No. 1 does not modify any other part of the Registration Statement. Pursuant to Rule 462(d) under the Securities Act, this Post-Effective Amendment No. 1 shall become effective immediately upon filing with the Securities and Exchange Commission.     The Registrant is required to indemnify, and advance expenses to, its directors, officers, employees and other agents to the maximum extent permitted by Section 2-418 of the Maryland General Corporation Law as set forth in Article NINTH of Registrant’s Charter, and Article XIII of the Registrant’s Bylaws. The liability of the Registrant’s directors and officers is eliminated, to the fullest extent permitted by Maryland law, in Article NINTH of Registrant’s Charter. The liability of Cohen & Steers Capital Management, Inc., the Registrant’s investment adviser (the “Advisor”), for any loss suffered by the Registrant or its stockholders is set forth in Section 4 of the Investment Management Agreement. The liability of Cohen & Steers Capital Management, Inc., the Registrant’s administrator, for any loss suffered by the Registrant or its stockholders is set forth in Section 6 of the Administration Agreement.

    Insofar as indemnification for liabilities under the Securities Act of 1933 may be permitted to the directors and officers, the Registrant has been advised that in the opinion of the SEC such indemnification is against public policy as expressed in such Act and is therefore unenforceable.
