    The Registrant’s Third Amended and Restated Certificate of Incorporation provides that the Registrant’s directors will be, and the officers, employees and other agents may be, indemnified by the Registrant to the fullest extent authorized by law.

     

    In addition, the Registrant has entered or will enter into indemnification agreements with directors and executive officers containing provisions which are in some respects broader than the specific indemnification provisions contained in the Delaware General Corporation Law.
