Pursuant to General Instruction E of Form S-8, Morgan Stanley (the “Registrant”) is filing this Registration Statement on Form S-8 (this “Registration Statement”) with the U.S. Securities and Exchange Commission (the “Commission”) to register 50,000,000 additional shares of the Registrant’s Class A common stock for issuance under the Registrant’s Equity Incentive Compensation Plan (the “Plan”), pursuant to an amendment and restatement of the Plan increasing the number of shares reserved for issuance thereunder by 50,000,000, effective as of March 31, 2025.
