    EXPLANATORY NOTE

     

    This registration statement (the “Registration Statement”) on Form S-8 is being filed on behalf of Real Messenger Corporation, a Cayman Islands company (the “Company”), for the purpose of registering an aggregate of 1,864,260 Class A ordinary shares par value $0.0001 per share (the “Class A Ordinary Shares”), reserved for issuance pursuant to awards that may be granted under the Real Messenger Corporation 2023 Equity Incentive Plan (the “2023 Plan”).

     

    On November 19, 2024, Real Messenger Holdings Limited (“RM Holding”), a Cayman Islands exempted company, completed a business combination (the “Business Combination”) with Nova Vision Acquisition Corp., a British Virgin Islands limited company (“Nova Vision”), as a result of which Nova Vision merged into the Company and RM Holding became a wholly-owned subsidiary of the Company. In connection with the Business Combination, Nova Vision’s shareholders approved, among other things, the adoption of the Real Messenger Corporation 2023 Equity Incentive Plan. The 2023 Plan became effective on November 19, 2024 and was assumed by the Company upon completion of the Business Combination.
