EXPLANATORY NOTE
This Registration Statement on Form S-8 is being filed for the purpose of registering an additional 5,500,000 shares of common stock, $0.01 par value per share (“Common Stock”) of Sunstone Hotel Investors, Inc. (the “Company”) to be issued under the First Amendment to the Sunstone Hotel Investors, Inc. and Sunstone Hotel Partnership, LLC 2022 Incentive Award Plan, which was adopted by the Company’s Board of Directors on March 12, 2025 and approved by the Company’s stockholders on May 1, 2025. In accordance with Instruction E to Form S-8, the contents of the previous Registration Statement on Form S-8 (File No. 333-264552) are hereby incorporated by reference.
