    This statement relates to shares of common stock, $0.01 Par Value (the “Common Stock”), of HV Bancorp, Inc. (“Issuer”), a Pennsylvania corporation whose principal executive office is located at 2005 South Easton Road, Suite 304, Doylestown, Pennsylvania 18901.

    Mr. Marino is Vice Chairman of the Board and President of HV Bancorp, Inc. and Huntingdon Valley Bank, which has its principal executive office at 2005 South Easton Road, Suite 304, Doylestown, Pennsylvania 18901.

    Robert Joseph Marino purchased the shares of Common Stock with his personal funds, as well as received grants of restricted stock and stock options pursuant to benefit plans of the Issuer.

    State the purpose or purposes of the acquisition of securities of the issuer.  Describe any plans or proposals which the reporting persons may have which relate to or would result in:

    The shares covered by this Schedule 13D are being held for investment purposes.  Mr. Marino may, from time to time, acquire additional securities of the Company using personal funds through a broker and/or privately negotiated transactions or dispose of securities.

    Except as described above and in his capacity as an officer and director of the Issuer and of Huntingdon Valley Bank, the wholly owned subsidiary of the Issuer, Mr. Marino does not have any present plans or proposals that relate to or would result in:


    (a)
    The acquisition by any person of additional securities of the issuer, or the disposition of securities of the issuer;


    (b)
    An extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the issuer or any of its subsidiaries;


    (c)
    A sale or transfer of a material amount of assets of the issuer or any of its subsidiaries;


    (d)
    Any change in the present board of directors or management of the issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board;


    (e)
    Any material change in the present capitalization or dividend policy of the issuer;


    (f)
    Any other material change in the issuer's business or corporate structure including but not limited to, if the issuer is a registered closed-end investment company, any plans or proposals to make any changes in its investment policy for which a vote is required by Section 13 of the Investment Company Act of 1940;

    Changes in the issuer's charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the issuer by any person;

    Interest in Securities of the Issuer

    As of the date hereof, Mr. Marino owns or has the right to acquire 114,653 shares of Common Stock, representing 5.29% of the 2,167,976 shares of the Common Stock deemed outstanding for such purpose (which includes 4,400 shares which may be acquired by Mr. Marino in the next 60 days pursuant to stock options).

    Mr. Marino has sole voting and dispositive power over 114,653 shares, which includes 2,200 shares held directly, 27,800 shares of unvested restricted stock, 647 shares held in his 401(k) account, 79,606 shares held in an IRA for his benefit and 4,400 shares which may be acquired in the next 60 days pursuant to stock options.
