Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 14, 2021, Fay Sien Goon resigned as the Chief Accounting Officer of ServiceNow, Inc. (the “Company”), effective as of October 14, 2021, in order to pursue another career opportunity. In connection with Ms. Goon’s resignation, Gina Mastantuono, the Company’s Chief Financial Officer, will perform the functions of the Company’s principal accounting officer from the date of Ms. Goon’s resignation until a successor is appointed. Ms. Mastantuono will continue to serve as the Company’s Chief Financial Officer.

Ms. Mastantuono’s biographical information and information regarding any related party transactions between Ms. Mastantuono and the Company subject to disclosure under Item 404(a) of Regulation S-K are disclosed in the Company’s Proxy Statement for its 2021 annual meeting of shareholders. There are no family relationships among any of the Company’s directors or other executive officers and Ms. Mastantuono. There are no arrangements or understandings between Ms. Mastantuono and any other person pursuant to which Ms. Mastantuono was selected as an officer. Ms. Mastantuono will not receive any adjustment to her compensation or any additional compensation in connection with performing the functions of the principal accounting officer of the Company.
