On January 29, 2025, ServiceNow, Inc. (“ServiceNow” or the “Company”) issued a press release announcing financial results for the three months and year ended December 31, 2024.

Item 8.01 Other Events.
On January 29, 2025, ServiceNow announced that its Board of Directors authorized an additional $3.0 billion in repurchases under its share repurchase program. This authorization is an increase to the original $1.5 billion repurchase authorization announced in May 2023, of which approximately $266 million remained available as of December 31, 2024. The program does not have a fixed expiration date, may be suspended, or discontinued at any time, and does not obligate the Company to acquire any amount of its common stock. The timing, manner, price, and amount of any repurchases will be determined by the Company at its discretion and will depend on a variety of factors, including business, economic and market conditions, prevailing stock prices, corporate and regulatory requirements, and other considerations.
