Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 26, 2026, Michael Dennison notified Solo Brands, Inc. (the “Company”) of his resignation as a member of the Company’s Board of Directors (the “Board”), from the Board’s committees, and as Lead Independent Director, effective March 3, 2026. Mr. Dennison's departure is not due to any disagreement with the Company on any matter relating to the operations, policies or practices of the Company. The Company thanks Mr. Dennison for his contributions to the Board and his dedicated service, including his leadership as Lead Independent Director and his service on the Board’s committees.
The Company expects that the Board will appoint Peter Laurinaitis to fill the resulting vacancy on the Board’s Audit Committee prior to the effectiveness of Mr. Dennison’s resignation.
