On February 19, 2025, Stronghold Digital Mining, Inc. (the “Company” or “Stronghold”) announced that the world’s leading independent proxy advisory firms,
Institutional Shareholder Services and Glass Lewis & Co., have each recommended that Company stockholders vote “FOR” the pending merger between the Company and Bitfarms Ltd. (“Bitfarms”) at the upcoming special meeting of the Company’s
stockholders on February 27, 2025.
A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated into this Item 7.01 by reference.
