Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As part of the previously announced succession plan, on September 5, 2024, the Board of Directors (the “Board”) of The Timken Company (the “Company”) appointed Tarak Mehta President and Chief Executive Officer of the Company and appointed Richard G. Kyle Advisor to the CEO. Mr. Kyle will continue to act as the Company’s principal executive officer through the filing of the Company’s Quarterly Report on Form 10-Q for the period ended September 30, 2024, at which point Mr. Mehta will assume such role. Mr. Kyle will serve as Advisor to the CEO until his retirement as an employee of the Company on February 15, 2025. Mr. Kyle is expected to remain on the Board following his retirement and will receive no additional compensation as a Director while he is an employee of the Company.
In addition, the Board approved an increase in the size of the Board from eleven to twelve members and elected Mr. Mehta as a Director. Mr. Mehta will begin serving as a Director on September 5, 2024 for a term that expires at the 2025 Annual Meeting of Shareholders of the Company. Mr. Mehta will receive no additional compensation for his service as a Director while he is an employee of the Company.
