    Item 2.02. Results of Operations and Financial Condition.

    As previously announced, to enhance financial transparency and comparability with industry peers, VTEX intends to transition its financial reporting standards from International Financial Reporting Standards (“IFRS”) to U.S. Generally Accepted Accounting Principals ("GAAP"). Adopting GAAP may expand our access to a broader investor base, facilitate inclusion in additional stock indices, and improve financial reporting alignment within our sector. On April 15, 2025, VTEX posted a presentation in the Investor Relations section of its website at http://www.investors.vtex.com, which summarizes the primary impacts of the transition from IFRS to GAAP and presents a summary of certain of the Company’s financial results under both IFRS and GAAP. A copy of the presentation is attached to this Current Report on Form 6-K as Exhibit 99.1. The Company undertakes no obligation to update, supplement or amend the materials attached hereto as Exhibit 99.1.
