    EXPLANATORY NOTE

    At the 2024 annual meeting of the stockholders of LivePerson, Inc. (the “Registrant”), the Registrant’s stockholders approved the amendment and restatement of each of the Registrant’s 2019 Stock Incentive Plan (the “A&R SIP”), which provides for grants of equity awards to eligible employees, officers and directors of the Registrant and its affiliates, and the Registrant’s 2019 Employee Stock Purchase Plan (the “A&R ESPP”), which provides eligible employees with the opportunity to purchase shares of the Registrant’s Common Stock at a discounted price. Under the A&R SIP and the A&R ESPP, the number of shares of Common Stock that may be issued pursuant to the A&R SIP was increased by 4,600,000 shares of Common Stock and the number of shares of Common Stock that may be purchased pursuant to the A&R ESPP was increased by 2,500,000 shares of Common Stock.

    The compensation committee of the board of directors of the Registrant has approved the amendment and restatement of the Registrant’s 2018 Inducement Plan (the “A&R Inducement Plan”), which provides for grants of equity awards to induce individuals to accept employment with the Registrant and its affiliates. The compensation committee of the board of directors of the Registrant subsequently approved an amendment to the A&R Inducement Plan on December 10, 2024, to increase the number of shares of Common Stock that may be issued pursuant to the A&R Inducement Plan by 2,333,333 shares of Common Stock. This registration statement on Form S-8 (this “Registration Statement”) relates to the additional 4,600,000 shares of Common Stock authorized for future issuance under the A&R SIP, the additional 2,500,000 shares of Common Stock authorized for future purchase under the A&R ESPP and the additional 2,333,333 shares of Common Stock authorized for future issuance under the A&R Inducement Plan.

    The registrant’s amended and restated certificate of incorporation in effect as of the date hereof (the “Certificate”) provides that, except to the extent prohibited by the Delaware General Corporation Law, as amended (the “DGCL”), the registrant’s directors shall not be personally liable to the registrant or its stockholders for monetary damages for any breach of fiduciary duty as directors of the registrant. Under the DGCL, the directors have a fiduciary duty to the registrant which is not eliminated by this provision of the Certificate and, in appropriate circumstances, equitable remedies such as injunctive or other forms of non-monetary relief will remain available. The registrant has obtained liability insurance for its officers and directors.
    Section 102 of the DGCL allows a corporation to eliminate the personal liability of directors and officers of a corporation to the corporation or its stockholders for monetary damages for a breach of fiduciary duty as a director or officer, except where the director or officer breached the duty of loyalty, failed to act in good faith, engaged in intentional misconduct or knowingly violated a law or obtained an improper personal benefit, where a director authorized the payment of a dividend or approved a stock repurchase in violation of Delaware corporate law or where an officer is liable in any action



    by or in the right of the corporation. The registrant has included such a provision with respect to its directors in the Certificate.

    Section 145 of the DGCL provides that a corporation has the power to indemnify a director, officer, employee or agent of the corporation and certain other persons serving at the request of the corporation in related capacities against amounts paid and expenses incurred in connection with an action or proceeding to which such person is or is threatened to be made a party by reason of such position, if such person shall have acted in good faith and in a manner such person reasonably believed to be in or not opposed to the best interests of the corporation, and, in any criminal proceeding, if such person had no reasonable cause to believe such person’s conduct was unlawful; provided that, in the case of actions brought by or in the right of the corporation, no indemnification shall be made with respect to any matter as to which such person shall have been adjudged to be liable to the corporation unless and only to the extent that the adjudicating court determines that such indemnification is proper under the circumstances.
    The registrant has also entered into agreements to indemnify its directors and executive officers, in addition to the indemnification provided for in the Certificate. The registrant believes that these agreements are necessary to attract and retain qualified directors and executive officers. In addition, the registrant has obtained liability insurance for its directors and officers.
