    Explanatory Note:

     

    The following constitutes Amendment No. 8 (the “Amendment”) to the joint filing on Schedule 13G by Prescott General Partners LLC (“PGP”), Prescott Investors Profit Sharing Trust (“PIPS”) and Thomas W. Smith originally filed with the Securities and Exchange Commission (“SEC”) on October 3, 2016, as amended by Amendment No. 1 filed with the SEC on February 14, 2017, Amendment No. 2 filed with the SEC on February 14, 2018, Amendment No. 3 filed with the SEC on February 14, 2019, Amendment No. 4 filed with the SEC on February 14, 2020, Amendment No. 5 filed with the SEC on February 16, 2021, Amendment No. 6 filed with the SEC on February 14, 2022, and Amendment No. 7 filed with the SEC on February 14, 2023 (as amended, the “Schedule 13G”). This amendment modifies the Schedule 13G to reflect, among other things, the addition of Jason M. Pohanka as a Reporting Person.     Mr. Smith has the sole power to vote or to direct the vote of and to dispose or to direct the disposition of 1,535,000 shares held by Ridgeview Smith Investments LLC, a limited liability company established by Mr. Smith, the sole member of which is a revocable trust established by Mr. Smith for the benefit of his family, as well as 50,000 shares held by a private charitable foundation established by Mr. Smith and for which Mr. Smith acts as trustee.

     

    In his capacity as investment manager for certain managed accounts, Mr. Smith may be deemed to have the shared power to vote or to direct the vote of and to dispose or to direct the disposition of 187,100 shares. Voting and investment authority over investment accounts established for the benefit of certain family members and friends of Mr. Smith is subject to each beneficiary’s right, if so provided, to terminate or otherwise direct the disposition of the investment account.

     

    Mr. Pohanka has the sole power to vote or to direct the vote of and to dispose or to direct the disposition of 649 shares.
