Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
(d) On August 1, 2024, the Board of Directors (the “Board”) of Williams-Sonoma, Inc. (the “Company”) appointed Arianna Huffington to serve as a director of the Company, effective immediately. The Company issued a press release announcing the appointment of Ms. Huffington to the Board.
Ms. Huffington will receive the standard compensation available to the Company’s current non-employee directors, which is discussed in the Company’s Proxy Statement filed with the Securities and Exchange Commission (“SEC”) on April 16, 2024, but on a pro-rated basis for the initial year. The Company will also enter into its standard form of indemnification agreement with Ms. Huffington, which agreement is filed as Exhibit 10.1 to the Company’s Quarterly Report on Form 10-Q, as filed with the SEC on September 9, 2011.
A copy of the press release is attached hereto as Exhibit 99.1. The information in the press release will not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor will it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act.
